These Terms of Service ("Terms") govern your access to and use of cruzmotorworks.com and any purchase you make from Cruz Motors ("Cruz Motors", "we", "us", "our"). By using this website or placing an order, you agree to these Terms. If you do not agree, do not use this website or purchase our products.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to purchase from us. By placing an order, you confirm that you meet these requirements and that all information you provide is accurate.
2. Products
Our vehicles are hand-built, limited-production electric vehicles intended for private recreational use. Specifications, images, renderings and 3D models on this website are representative. Because each vehicle is built to order, minor variations in finish, materials, trim and component sourcing may occur and do not constitute a defect.
We reserve the right to modify specifications, discontinue models, and limit quantities at any time.
3. Intended Use and Safety
Our vehicles are not street legal. They are not certified to Federal Motor Vehicle Safety Standards, are not approved by the National Highway Traffic Safety Administration, and may not be registered, titled or operated on public roads, highways, sidewalks or public rights of way in the United States.
By purchasing, you agree that you will:
- Operate the vehicle only on private property, closed circuits or other locations where such use is lawful and permitted by the property owner;
- Comply with all federal, state and local laws, ordinances and regulations governing use of the vehicle;
- Not permit operation by any person who is not competent to operate it safely;
- Ensure that all operators and passengers wear appropriate protective equipment, including a helmet;
- Not modify the vehicle in any way that affects speed, braking, structure or safety systems;
- Perform maintenance and inspection in accordance with the owner's documentation supplied with the vehicle.
Assumption of risk. Operation of a motorised vehicle carries inherent risk of serious injury, property damage and death. You accept these risks on behalf of yourself and any person you permit to operate or ride in the vehicle.
You are solely responsible for determining whether operation of the vehicle is lawful in your jurisdiction and for obtaining any permits or insurance that may be required.
4. Orders and Acceptance
Your order is an offer to purchase. No contract is formed until we send you an order confirmation. We may decline or cancel any order, including after confirmation, if the product is unavailable, if pricing or product information was published in error, if we suspect fraud, or if we are unable to fulfil the order for any other reason. If we cancel a confirmed order, we will refund you in full.
5. Pricing and Payment
All prices are in United States dollars and exclude applicable sales tax, which is calculated at checkout based on your delivery address.
Full payment is due at the time of order. We accept the payment methods displayed at checkout. You represent that you are authorised to use the payment method you provide.
Prices are subject to change without notice. Changes do not affect orders already confirmed.
6. Build Time and Delivery
Vehicles are built to order. Please allow approximately 90 days from purchase for production, transit and delivery. Delivery estimates are estimates, not guarantees.
We will notify you by email if the estimated delivery date changes materially. If we cannot ship within the timeframe stated at the time of your order, you may cancel and receive a full refund.
Delivery is made by freight carrier within the United States and is included in the purchase price. Delivery is curbside unless otherwise agreed in writing. A person aged 18 or over must be present to receive and sign for the vehicle.
Risk of loss passes to you upon delivery. Inspect the vehicle before signing the delivery receipt and note any visible damage on the receipt before signing.
7. Returns
Because each vehicle is built to order, we do not accept returns or exchanges after delivery.
This does not affect:
- Your right to cancel and receive a full refund at any time before your vehicle ships;
- Your rights in respect of a vehicle that arrives damaged or with a manufacturing defect, as set out in our Refund Policy;
- Any rights you may have under applicable law that cannot be excluded.
8. Warranty and Disclaimer
Any manufacturer's warranty applicable to your vehicle is set out in the documentation supplied with it.
Except as expressly stated in that documentation and to the fullest extent permitted by law, the vehicle and this website are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
No warranty applies to damage arising from misuse, racing, competition, modification, neglect, accident, operation outside the intended use described in Section 3, or normal wear.
9. Limitation of Liability
To the fullest extent permitted by law, Cruz Motors and its officers, employees, agents and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or use, arising out of or relating to your purchase or use of a vehicle or this website, regardless of the theory of liability and even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to your purchase will not exceed the amount you paid for the vehicle giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless Cruz Motors and its officers, employees and agents from any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or relating to your use of a vehicle, your breach of these Terms, or your violation of any law or the rights of any third party.
11. Intellectual Property
All content on this website, including text, images, renderings, 3D models, designs, logos and the CRUZ and Cruz Motors names and marks, is owned by or licensed to Cruz Motors and protected by intellectual property laws. You may not copy, reproduce, distribute, modify or create derivative works from any of it without our prior written consent.
12. Website Use
You agree not to use this website for any unlawful purpose, to interfere with its operation or security, to attempt unauthorised access to any part of it, or to use automated means to extract data from it.
We may suspend or terminate your access at any time.
13. Third Party Links and Services
This website may link to third-party websites and uses third-party services, including Shopify for hosting and payment processing. We are not responsible for the content, policies or practices of third parties.
14. Privacy
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.
15. Changes to These Terms
We may update these Terms at any time. The version in effect at the time you place an order governs that order. We will post the revised Terms on this website and update the "Last updated" date.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or your purchase will be brought exclusively in the state or federal courts located in San Mateo County, California, and you consent to the jurisdiction of those courts.
17. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy, Refund Policy and Shipping Policy, constitute the entire agreement between you and Cruz Motors regarding your purchase.
